Goldman Sachs has agreed to acquire NEOS Investments for up to $2.25 billion, giving the Wall Street firm control of an established portfolio of options-based ETFs with more than $30 billion in assets. The transaction also expands Goldman’s position in crypto-linked income products, providing immediate access to Bitcoin and Ethereum strategies at a time when institutional investors are increasingly seeking ways to combine digital-asset exposure with income generation and risk management.
Goldman Buys an Established ETF Platform
NEOS manages approximately $30 billion across 19 ETFs, primarily using options strategies designed to generate income and manage portfolio volatility. Goldman said the transaction will be structured as a combination of cash and equity, with the final consideration reaching as much as $2.25 billion depending on specified performance and service targets. The acquisition is expected to close in the first quarter of 2027, subject to regulatory approval and customary closing conditions.
The deal extends Goldman’s push into active ETF management. Earlier this year, Goldman completed its acquisition of Innovator Capital Management, bringing approximately $31 billion in assets under supervision across 171 ETFs and taking its global ETF count to roughly 240.
Bitcoin and Ethereum Give the Deal a Crypto Dimension
Among NEOS’s products are crypto-linked income strategies, including the NEOS Bitcoin High Income ETF (BTCI). Its regulatory filings describe an actively managed strategy that combines exposure to Bitcoin exchange-traded products with options transactions designed to generate monthly income. The fund does not simply track Bitcoin’s spot price; instead, its options overlay is intended to monetize volatility while maintaining exposure to the underlying asset.
BTCI has already reached more than $1 billion in assets, according to market data cited in recent coverage, giving Goldman an established platform rather than requiring the firm to develop a comparable Bitcoin income product from scratch.
The broader NEOS crypto lineup also includes Ethereum-related exposure, giving Goldman access to strategies built around both of the two largest digital assets. That distinction is important as the institutional crypto ETF market moves beyond straightforward spot products toward structured exposure, options income and other portfolio-management strategies.
Why Options-Based Crypto ETFs Matter
Covered-call and related options strategies can create recurring income by selling options against underlying exposure. However, the trade-off is that option premiums do not eliminate the underlying asset’s volatility and can limit participation in sharp upside moves. For Bitcoin specifically, NEOS’s filings describe a strategy that uses Bitcoin ETPs and options to generate monthly income rather than simply attempting to replicate BTC’s price performance.
This structure gives Goldman an opportunity to serve investors who want crypto exposure with a defined income objective. It also fits the bank’s broader expansion into active and outcome-oriented ETFs, where options are increasingly being used to reshape the risk and return characteristics of traditional and digital assets. Reuters reported that Goldman expects the transaction to increase its actively managed ETF assets to approximately $80 billion.
The Bigger Signal Is Institutionalization
The acquisition is less about Goldman simply adding another crypto product and more about the financial architecture developing around digital assets. Bitcoin and Ethereum are increasingly being incorporated into regulated investment vehicles that offer income, risk-management and portfolio-construction features familiar to traditional investors.
Goldman’s decision to acquire an existing crypto-income platform rather than build one internally signals that this market has become strategically important enough to justify buying established distribution, technology and expertise. It also strengthens competition among major asset managers seeking exposure to the rapidly expanding ETF market.
Looking ahead, regulatory approval and the integration of NEOS will be the key milestones. Investors will also be watching whether Goldman expands the existing Bitcoin and Ethereum strategies, changes their distribution or fees, or uses the NEOS platform as a foundation for additional digital-asset income products. The transaction underscores a broader shift in crypto markets: institutional adoption is increasingly moving from simply owning Bitcoin and Ethereum toward engineering new financial products around them.
