SKN | SEC Crypto Proposal Opens New Fundraising Paths for Digital Asset Issuers

The U.S. Securities and Exchange Commission (SEC) has proposed a new regulatory framework that could give eligible crypto projects additional routes to raise capital without undergoing full registration under the Securities Act. The proposal includes exemptions of up to $75 million over 12 months, alongside a smaller startup pathway and a conditional safe harbor that could materially reshape how certain crypto assets are structured and offered to investors.

SEC Proposal Creates Two Fundraising Exemptions

The proposed Regulation Crypto Assets framework would establish two exemptions from Section 5 registration requirements for certain investment contracts involving crypto assets. The larger exemption would allow eligible issuers to raise as much as $75 million in any 12-month period, while a separate startup exemption would permit fundraising of up to $5 million over four years.

The difference between the two routes is significant for issuers. Projects using the larger exemption would face more extensive obligations, including the provision of financial statements and ongoing reporting. Both pathways would require principles-based narrative disclosures, while issuers would remain subject to federal antifraud and antimanipulation provisions. For the crypto market, that structure points toward a regulatory model that seeks to reduce the cost of capital formation without removing disclosure and market-integrity requirements.

A Conditional Safe Harbor Could Change the Regulatory Framework

Perhaps the more consequential element for digital asset developers is the proposed investment contract safe harbor. Under specified conditions, a crypto asset could be deemed not to be subject to an investment contract, creating a potential regulatory pathway for projects whose characteristics satisfy the SEC’s proposed requirements.

The distinction matters because the classification of crypto assets has remained one of the industry’s central regulatory uncertainties. A conditional framework could provide issuers with greater clarity around the circumstances under which a digital asset offering may qualify for alternative treatment. At the same time, the proposed conditions and disclosure requirements will determine how broadly the framework can be used in practice.

Lower Compliance Costs Could Reshape Crypto Capital Formation

For investors and institutions, the proposed framework is important not simply because of the $75 million fundraising ceiling, but because it could create clearer distinctions between early-stage projects and more established issuers. A $5 million four-year exemption could be particularly relevant for smaller ventures that need initial capital while operating under a more limited disclosure framework, whereas the $75 million route provides considerably greater capacity for projects with larger financing requirements.

The requirement for financial statements and continuing reporting under the larger exemption also introduces a meaningful layer of transparency. Rather than eliminating regulatory oversight, the proposal appears designed to create graduated compliance requirements based on the scale of capital raised. That could become an important consideration for institutional participants evaluating the quality and reporting standards of crypto projects.

The proposal remains subject to the regulatory process, and its ultimate provisions could change before any framework takes effect. For crypto markets, the next important developments will be the details of the SEC’s conditions, the industry’s response, and whether the final rules provide sufficiently predictable pathways for issuers while maintaining investor protections. If implemented substantially as proposed, the framework could mark a significant shift toward a more defined U.S. market structure for crypto fundraising and asset classification.
