Key Points:

  • Strategy conditionally declared daily dividends on its STRC preferred stock for November, subject to shareholder approval and related amendments taking effect.
  • The annualized dividend rate will remain at 12%, with management planning to maintain it until STRC demonstrates sustained, healthy trading near its $100 par value.
  • STRC traded at $99.32 on Friday as Strategy continues using preferred-stock financing to support its Bitcoin treasury strategy.

Strategy is adjusting the dividend structure of its preferred stock as the company seeks to keep its financing instruments trading close to their intended value. The move comes as the Bitcoin-focused firm continues to rely on capital markets to support its cryptocurrency holdings, with STRC remaining an important part of its fundraising strategy.

The company, led by Michael Saylor, conditionally declared daily cash dividends on its STRC preferred stock for November, according to an October 16 filing with the US Securities and Exchange Commission. The declaration remains subject to shareholder approval and the effectiveness of related amendments.

Under the proposed schedule, dividends would apply to each calendar day from November 1 through November 30, with payments beginning November 2. Each dividend would be payable on the business day following its record date.

Strategy Maintains STRC’s 12% Annualized Dividend Rate

Strategy plans to keep STRC’s annualized dividend rate at 12% throughout November. Management said it would continue recommending that rate until the preferred shares demonstrate “sustained, healthy trading near $100 per share.”

The daily dividend structure could make STRC more attractive to investors seeking regular distributions while potentially supporting trading near its $100 par value. However, the declaration is conditional, and the proposed payment schedule depends on the required shareholder approval and amendments taking effect.

STRC remained below par on Friday, trading at $99.32 as of 1:36 p.m. UTC, down 0.2%, according to Yahoo Finance. Its price remains an important indicator as Strategy seeks to maintain investor demand for the preferred shares.

STRC serves as one of the company’s principal fundraising instruments for acquiring Bitcoin. Its dividend terms and market price therefore matter not only to preferred-stock investors but also to Strategy’s broader capital-raising plans.

Bitcoin Treasury Continues to Expand

Strategy remains the largest corporate holder of Bitcoin, and its preferred-stock financing strategy operates alongside continued changes in its BTC holdings.

The company added 250 Bitcoin for $21.5 million during the previous week, bringing its reported total to 848,250 BTC. The purchase highlights Strategy’s continued accumulation of the cryptocurrency while it manages the financing instruments used to support its treasury.

The company has also used capital to repurchase STRC shares. During the week ending October 4, Strategy repurchased $176 million worth of STRC, spending more than six times the amount allocated to Bitcoin purchases during that period. Its Bitcoin purchases totaled $28 million over the same week.

These figures illustrate how Strategy balances Bitcoin accumulation with management of its preferred-stock capital structure. Repurchases may influence the supply of shares available in the market, while dividend terms can affect investor demand. Neither mechanism, however, guarantees that STRC will consistently trade at par.

Strategy’s Capital Framework Links Dividends to Bitcoin Financing

On June 29, Strategy unveiled a capital framework that allows it to sell Bitcoin to fund dividend obligations. The company also increased STRC’s annualized dividend rate to 12% as part of that strategy.

The framework reflects the financial demands of maintaining preferred-stock distributions while pursuing a Bitcoin-focused treasury model. Although preferred-stock financing can provide capital for additional acquisitions, dividend commitments also create ongoing funding requirements that must be managed alongside market conditions.

The conditional daily dividend declaration represents another step in Strategy’s effort to align STRC’s distribution structure with its desired trading behavior. The company’s stated intention to maintain the 12% rate until STRC trades sustainably near $100 underscores the importance of market pricing to its approach.

Outlook

Strategy’s November dividend plan will depend on shareholder approval and the effectiveness of the required amendments. Investors will likely watch whether the daily payment structure helps STRC trade closer to its $100 par value while the company continues balancing preferred-stock obligations, share repurchases and Bitcoin purchases. The outcome could influence how effectively Strategy uses STRC as a financing vehicle for its long-term Bitcoin strategy.
