SKN | Strategy Shareholders Approve Daily Preferred Stock Dividends, Starting With STRC in November

Key Points:

  • Daily dividend payments approved: Strategy shareholders approved a change allowing its four preferred stock classes to move from periodic to daily dividend payments.
  • STRC transitions first: The variable-rate preferred stock is scheduled to begin daily dividends on November 1, 2026, with the first payment expected on November 2.
  • Dividend rates remain unchanged: The change affects payment frequency, not the underlying rates or total dividend obligations, and preferred shares remain distinct from bank deposits.

Strategy, the publicly traded company known for its substantial Bitcoin holdings, is moving toward daily dividend payments for its preferred stocks after shareholders approved the change on October 28, 2026. The adjustment will begin with STRC in November, followed by three other preferred stock classes in January 2027, changing the timing of distributions without altering the stated dividend rates.

The decision highlights Strategy’s efforts to refine the structure of its capital-market products as it finances its broader corporate strategy. For crypto investors, the development is relevant because the company’s preferred securities offer a different exposure to Strategy’s financial position from direct Bitcoin ownership, with distinct dividend conditions and risks.

STRC Leads the Transition to Daily Payments

According to Strategy’s latest regulatory filing, the variable-rate STRC preferred stock is scheduled to transition to daily dividends on November 1, 2026. Its first daily payment is expected on Monday, November 2. The remaining preferred classes—STRF, STRK and STRD—are scheduled to adopt the arrangement at the beginning of 2027, with their first daily payout expected on January 4.

The change does not increase the dividend rate or Strategy’s overall payment obligations. STRC’s current annualized rate is 12%, equivalent to approximately $1 per $100 share over a month when calculated on a simplified basis. Under the new arrangement, the distribution is spread across daily payment calculations rather than being delivered solely through the previous schedule.

For holders, more frequent distributions may make cash-flow timing more predictable. However, payment frequency should not be confused with a higher return: the stated rate remains unchanged, and dividends continue to depend on the terms of the security and the company’s declaration process.

Weekend Record Dates Create Important Timing Rules

The daily structure introduces specific rules for determining which shareholders qualify for distributions. Although each calendar day receives a record date, shares held through the Depository Trust Company (DTC) follow a different operational treatment when record dates fall on weekends or market holidays.

Strategy’s example illustrates the distinction. Dividends associated with November 6 through November 8 are recorded using Friday, November 6, and are scheduled to be paid on Monday, November 9. A purchaser acquiring shares on Friday would not qualify for those distributions under the stated example.

These details matter for investors managing settlement timing and dividend eligibility. Daily payments may sound straightforward, but record-date conventions can affect who receives a particular distribution. Investors should review the company’s official documentation rather than assume that purchasing shares on any given day automatically creates eligibility for that day’s dividend.

Voting Approval Does Not Remove Preferred Stock Risks

The proposal was approved by holders of Strategy’s Class A and Class B common shares. The preferred shareholders themselves did not vote on the change. Executive Chairman Michael Saylor held 32.9% of the voting power, according to the supplied report, making the voting structure an important part of the governance context.

Although daily payments may make STRC resemble a cash-flow product, it remains a perpetual preferred stock, not a bank deposit or a money-market account. Dividends are paid only when declared by the board, and the security remains subject to issuer-specific and market risks. The stated 12% rate should therefore not be interpreted as a guaranteed return.

Investors will be watching Strategy’s third-quarter earnings discussion for further indications of demand for STRC and whether the company plans to resume issuance. The daily-dividend change modifies how distributions are delivered, but the key considerations remain Strategy’s financial position, the terms governing each preferred class and the risks associated with its capital structure.
