The legislation is intended to establish clearer rules for determining whether digital assets fall under securities or commodities law, potentially creating a durable division of authority between the Securities and Exchange Commission and Commodity Futures Trading Commission.

The September 15 Vote Is a Gate, Not Final Passage

The upcoming vote is a cloture test, rather than a final vote on whether the CLARITY Act becomes law. Senate procedure requires 60 votes to end debate and move the legislation into the next stage, making bipartisan support essential in a chamber where Republicans hold 53 seats.

The bill has already cleared significant hurdles. The Senate Banking Committee approved its version by a 15-9 vote in May 2026, following months of negotiations and revisions. The House had previously passed the broader CLARITY legislation in July 2025, leaving the Senate as the critical remaining legislative battleground.

Yet the procedural milestone does not guarantee final passage. Outstanding disagreements include ethics provisions, law-enforcement requirements and market-integrity provisions, while lawmakers continue negotiating elements affecting decentralized finance and stablecoin activities.

SEC-CFTC Jurisdiction Is at the Center

The central market-structure issue is regulatory classification. The CLARITY Act would establish statutory criteria for distinguishing digital assets that fall under securities regulation from those treated as commodities, reducing the jurisdictional ambiguity that has characterized U.S. crypto markets.

The Senate Banking Committee says the legislation would create a clearer division between SEC and CFTC authority while maintaining SEC jurisdiction over digital asset securities and strengthening disclosure, anti-fraud and anti-evasion requirements. The bill also proposes a joint SEC-CFTC advisory framework intended to improve coordination between the agencies.

For exchanges, issuers, custodians and institutional investors, that distinction has practical consequences. A defined regulatory perimeter could reduce uncertainty surrounding registration, market access, custody requirements and the treatment of tokenized financial products.

Why Lummis Is Warning About 2030

Sen. Cynthia Lummis has raised the political stakes by arguing that failure to complete the legislation during the current congressional session could push the next realistic opportunity for comprehensive market-structure legislation to 2030. Her argument is based on the legislative calendar rather than a statutory deadline: Congress operates on two-year cycles, and a bill that fails to advance would need to be reintroduced in a future Congress.

The warning matters for capital markets because regulatory uncertainty affects how companies structure operations, where developers establish businesses and how institutions assess U.S. market exposure. The Senate Banking Committee has explicitly framed the legislation as an effort to keep digital-asset investment and innovation in the United States while strengthening investor and law-enforcement protections.

Crypto Markets Are Watching the Legislative Risk

Bitcoin was trading near $79,367 on September 7, while Ethereum was around $2,488 and XRP near $1.40. The relatively contained market reaction suggests investors are treating the Senate vote primarily as a medium-term regulatory catalyst rather than an immediate pricing event.

The key issue now is whether negotiators can resolve the remaining disputes quickly enough to preserve legislative momentum. A successful September 15 cloture vote would keep the bill moving, but substantial work would remain before enactment. A failure, meanwhile, would reinforce the possibility of several more years without a comprehensive federal market-structure statute. For crypto investors, the next two weeks therefore represent more than another congressional deadline: they could determine whether the United States establishes a durable SEC-CFTC regulatory framework or continues operating through agency rules, interpretations and enforcement actions for years to come.
