SKN | Coinbase Opens IPO Access to U.S. Retail Investors as Its “Everything Exchange” Expands

Coinbase is expanding deeper into traditional capital markets by allowing eligible U.S. retail investors to request initial public offering allocations directly through its app. The initiative begins with smart-ring maker Oura and represents another step in Coinbase’s effort to build a broader financial platform that connects cryptocurrency, securities and other asset classes.

Coinbase Brings IPO Access Into Its App

Under the new service, customers can navigate to a dedicated IPO section, review an active offering, fund their accounts and submit a Conditional Offer to Buy once the expected price range is available. Shares are allocated at the final IPO price and become tradable when the company begins public-market trading.

The first offering is Oura, which is seeking to sell 50 million shares at $40 to $44 each. The company has applied to list on Nasdaq under the ticker OURA. At the top of the range, the offering could raise approximately $2.2 billion before expenses, although a significant portion of the shares are being sold by existing shareholders rather than Oura itself.

For Coinbase users, the important distinction is that submitting a request does not guarantee an allocation. Coinbase says requests can be filled in full, partially or not at all, depending on underwriter supply and total customer demand. Investors can also cancel or modify requests while the offering remains open.

Broker-Dealer Infrastructure Handles the Offering

The service operates through Coinbase Capital Markets, Coinbase’s FINRA-registered broker-dealer. The entity participates as a best-efforts selling-group member, aggregates customer orders and routes them through clearing partner Apex Clearing Corporation.

Coinbase says the broker-dealer will act as an agent rather than an underwriter. It will not hold IPO inventory or take the opposite side of customer transactions. Customers must also complete a standard FINRA eligibility questionnaire before participating.

The structure is significant because it separates the new securities service from Coinbase’s existing digital-asset business. Coinbase explicitly states that securities services provided through Coinbase Capital Markets are separate from digital-asset services offered by Coinbase Inc.

Allocation Rules Target Short-Term IPO Selling

Coinbase is also introducing rules intended to influence customer behavior after allocation. Customers who sell IPO shares within the first 30 days may be barred from participating in IPOs for the following 60 days. Repeat early sellers could also receive smaller and less frequent allocations in future offerings.

The policy effectively makes allocation history part of the platform’s distribution process. Coinbase says its algorithm prioritizes customers who intend to hold shares for longer periods, potentially reducing incentives for immediate post-listing selling. The approach could become increasingly relevant if the platform gains access to a larger number of highly demanded offerings.

IPO Access Strengthens the “Everything Exchange” Strategy

The initiative broadens Coinbase’s role beyond crypto trading at a time when the company is expanding into multiple areas of financial infrastructure. The exchange has described its long-term objective as an “Everything Exchange”, where customers can access different financial assets through a single platform.

Coinbase has also expanded its institutional and banking relationships, including a partnership with Stablecore that could give more than 3,000 banks and credit unions access to digital-asset services such as trading, custody and stablecoin payments.

For investors, the next measure of the IPO initiative will be its scale rather than the launch itself. Customer participation, allocation volumes, the number of future offerings and activity across Coinbase’s broader securities platform will determine whether IPO access becomes a meaningful business line. The initiative nevertheless marks a notable shift: Coinbase is increasingly positioning its infrastructure across the full financial-market lifecycle rather than limiting its role to digital assets.
