SKN | Strategy and Strive Face a Bitcoin Funding Dilemma as Preferred-Stock Dividends Rise

Key Points:

  • Strategy and Strive are using perpetual preferred stock to finance Bitcoin acquisitions, with the securities supporting purchases of nearly 136,000 BTC since their introduction.
  • Strategy’s STRC preferred stock has a variable dividend rate of approximately 12%, creating a recurring funding obligation alongside its Bitcoin accumulation strategy.
  • U.S. spot Bitcoin ETFs remain the larger institutional demand channel, with approximately $57 billion in cumulative net inflows and $106 billion in assets, according to CoinShares research cited by CoinDesk.

Strategy and Strive are confronting a growing financial trade-off between acquiring more Bitcoin and meeting dividend obligations to preferred-stock investors. The companies have used perpetual preferred securities to raise capital for their Bitcoin treasury strategies, opening a funding channel that reaches investors seeking income as well as crypto exposure. However, as issuance expands, recurring dividend payments and share repurchases compete with the cash available for additional Bitcoin purchases.

Preferred Stock Creates an Alternative Bitcoin Funding Channel

According to research from Fidelity Digital Assets cited by CoinDesk, perpetual preferred securities financed purchases of 135,979 Bitcoin through October 5. The preferred-stock market focused on Bitcoin treasury companies has grown to approximately $12 billion, creating an additional source of demand alongside direct purchases and exchange-traded funds.

Unlike common equity, preferred stock generally offers investors priority over common shareholders for declared dividends and certain liquidation proceeds. Perpetual securities have no fixed maturity date, reducing the need for repayment at a predetermined date. Their appeal can extend to investors who want exposure to a company’s Bitcoin-focused strategy without directly holding the cryptocurrency.

Yet the financing is not free. Preferred dividends create recurring obligations, and the attractiveness of new issuance depends partly on investor demand and the market prices of the securities. If shares trade materially below their stated value, issuing additional stock may become less economical, restricting the companies’ ability to raise capital on favorable terms.

Dividend Payments Compete With Bitcoin Accumulation

Strategy’s STRC, a variable-rate perpetual preferred security, carries a dividend rate of approximately 12%. CoinShares research head James Butterfill told CoinDesk that STRC alone raised around $7.5 billion during 2026 through late July. That funding supported the company’s capital-raising strategy, but also increased the importance of managing dividend costs.

The trade-off became visible in Strategy’s recent capital allocation. According to Butterfill, the company spent approximately $193 million repurchasing STRC while acquiring just 267 BTC during the reported period. Strategy also increased its preferred-stock repurchase authorization to $3 billion.

Repurchases can reduce the number of outstanding preferred shares and potentially lower future dividend obligations. However, they also consume capital that could otherwise fund Bitcoin acquisitions. Butterfill further noted that Strategy had sold some Bitcoin to finance preferred dividends, illustrating how cash requirements can complicate a strategy built around long-term accumulation.

Investor Demand Depends on Market Conditions

Preferred securities can attract investors who are reluctant to own Bitcoin directly, but their performance depends on more than the cryptocurrency’s price. Dividend coverage, issuer financial strength, market liquidity, and the ability to issue new securities all influence investor confidence.

The funding mechanism can become self-reinforcing in both directions. Strong demand for preferred shares can help companies raise capital and acquire more Bitcoin. Weak demand or prices below par can make new issuance less attractive, encouraging issuers to prioritize buybacks or preserve cash instead.

For comparison, CoinShares research cited by CoinDesk put U.S. spot Bitcoin ETFs at approximately $57 billion in cumulative net inflows and $106 billion in assets. ETFs do not create the same ongoing dividend commitment for their sponsors, although investor redemptions can reverse demand for the underlying asset.

What Comes Next for Bitcoin Treasury Companies?

The sustainability of preferred-funded Bitcoin purchases will depend on continued investor appetite, the cost of dividends, and the relationship between preferred-share prices and their stated value. Strategy and Strive must balance their desire to increase Bitcoin holdings against the need to maintain confidence among income-oriented investors. Preferred securities may complement ETF demand, but their contribution is sensitive to capital-market conditions. For investors, the key indicators will be new issuance, dividend commitments, repurchase activity, and net changes in Bitcoin holdings—not acquisition announcements alone.
