Key Points:

  • $130 million alleged crypto fraud: The SEC charged BG Wealth Sharing and DSJ Exchange Pty over an alleged investment scheme that operated between October 2025 and June 2026.
  • Fake SEC filings used to attract investors: The entities allegedly submitted fraudulent Forms ADV and D to create the appearance of regulatory registration and legitimacy.
  • Tens of thousands of investors affected: The alleged scheme targeted retail investors across more than 40 U.S. states, promising monthly returns of at least 60% with supposedly zero risk.

The U.S. Securities and Exchange Commission (SEC) has accused two entities of operating a $130 million cryptocurrency investment fraud that allegedly relied on fabricated regulatory filings, unrealistic return promises and a false trading platform. The charges against BG Wealth Sharing and DSJ Exchange Pty concern activities between October 2025 and June 2026, with tens of thousands of retail investors reportedly affected across more than 40 U.S. states.

The case highlights the risks associated with investment schemes that use claims of regulatory legitimacy and artificial intelligence-driven trading capabilities to attract capital. It also underscores the importance of verifying registration claims independently, particularly when platforms advertise unusually high returns while presenting themselves as low-risk investment opportunities.

Fake SEC Filings Allegedly Created an Appearance of Legitimacy

According to the SEC’s complaint, BG Wealth Sharing presented itself as the world’s largest hedge fund and claimed to be an SEC-licensed investment adviser. The organization allegedly promoted proprietary artificial intelligence-based trading signals developed by its founder, identified as “Professor” Stephen Beard.

Investors were reportedly promised monthly returns of at least 60% with zero risk. BG Wealth also claimed to work with DSJ Exchange, which it described as a secure cryptocurrency trading platform.

However, the SEC alleges that these representations were false. To reinforce the appearance of regulatory approval, the entities allegedly submitted fraudulent Forms ADV and D to the commission. Such filings are publicly accessible regulatory documents, and their alleged misuse could have misled investors into believing the organizations had legitimate regulatory standing.

The distinction is significant: submitting a regulatory filing is not equivalent to receiving SEC approval or endorsement. The alleged scheme demonstrates how fraudulent operators can exploit investors’ limited familiarity with regulatory registration procedures.

Alleged Trading Operations Were Entirely Fabricated

The complaint describes a system in which BG Wealth directed investors to open accounts on the DSJ platform, deposit cryptocurrency and enter alphanumeric trading signals supplied by the organization. BG Wealth allegedly claimed that only 1% of investors’ funds were automatically traded and pooled with other participants’ capital in an open cryptocurrency market.

According to the SEC, the trading operation was fictitious. The agency alleges that investors’ funds were never actually invested and that the profits displayed on DSJ Exchange were fabricated. Some incoming funds were reportedly used to pay existing participants, allowing the operation to continue and creating the appearance of successful investment activity.

This alleged structure resembles a Ponzi-style arrangement, in which payments to earlier participants are funded by money collected from later investors rather than genuine trading profits.

Multi-Level Marketing and Regulatory Warnings Failed to Stop the Scheme

The SEC alleges that BG Wealth and DSJ Exchange used a multi-level marketing structure to expand their reach. Weekly video conferences, encrypted communications and promotional events in major U.S. cities were reportedly used to attract additional participants.

A promotional event in Sandy, Utah, in April reportedly featured giveaways including a Tesla, iPhones and cash. These activities illustrate how incentives and public events can be incorporated into investment solicitation strategies to strengthen credibility and encourage referrals.

Regulatory warnings had reportedly emerged before the scheme ended. Foreign securities regulators raised concerns as early as May 2025, while authorities in Alaska, Texas, Utah, Washington and Wisconsin issued cease-and-desist orders beginning in March 2026. Despite these interventions, the entities allegedly continued operating until June.

Looking ahead, the SEC proceedings will be important for determining accountability and the potential consequences for those involved. For cryptocurrency investors, the case reinforces the need to distinguish regulatory filings from actual authorization, independently verify investment advisers and treat guaranteed high returns as a significant warning sign. As authorities continue addressing cross-border digital-asset fraud, coordination between regulators and improved investor awareness will remain essential to limiting the financial damage caused by sophisticated schemes.
