SKN | Google Could Gain Ownership in TeraWulf’s $19 Billion AI Project if Anthropic Defaults

Key Points:

  • Google could acquire an ownership stake in a data center subsidiary of Bitcoin miner TeraWulf if Anthropic defaults on its rental obligations under a 20-year agreement.
  • The arrangement supports a $19 billion lease covering 401 megawatts of computing capacity at TeraWulf’s Kentucky campus.
  • The potential ownership stake would depend on Google’s termination payment relative to the project’s total development and construction costs.

A financing arrangement involving Google, Anthropic and Bitcoin miner TeraWulf highlights the growing connection between cryptocurrency mining infrastructure and the expanding artificial intelligence economy. Under a newly disclosed agreement, Google could become a part owner of a major AI data center project if Anthropic fails to meet its contractual obligations, creating an unusual mechanism that links tenant credit support with potential infrastructure ownership.

A $19 Billion Agreement Connects Bitcoin Mining Infrastructure to AI

TeraWulf disclosed that Google and Anthropic have agreed to support Anthropic’s obligations under a 20-year lease valued at approximately $19 billion. The agreement covers 401 megawatts of computing capacity at TeraWulf’s Kentucky campus, which is being developed to accommodate AI-related computing demand.

The project is expected to begin delivering capacity in late 2027. For TeraWulf, securing a long-term agreement with an established AI customer, supported by Google’s financial backing, could strengthen the project’s financing structure. Large data center developments require substantial upfront commitments to land, power infrastructure, equipment and construction. A long-duration lease can help provide lenders with greater visibility into future contractual revenue, although it does not eliminate development, financing or execution risks.

The arrangement also illustrates how Bitcoin mining companies are repositioning their infrastructure to serve the AI and high-performance computing markets. Facilities with access to substantial electricity capacity and established energy infrastructure can potentially be adapted to support workloads beyond cryptocurrency mining.

Google’s Default Protection Includes a Potential Ownership Route

The agreement contains a provision that goes beyond a conventional financial backstop. If Anthropic defaults on rent or becomes insolvent, Google can step in as the tenant and assume the lease. Under certain conditions, it can instead make a termination payment and acquire an ownership stake in Raylan Data, the TeraWulf subsidiary operating the project.

The size of Google’s potential stake would be calculated by comparing its termination payment with the total cost of developing and constructing the facility. That calculation includes land, infrastructure, equipment and financing expenses.

For example, a termination payment equivalent to 30% of the project’s total cost would entitle Google to a 30% ownership stake in the subsidiary under the described formula. This structure gives Google an alternative to simply assuming the tenant’s contractual obligations. It could potentially convert its financial support into a direct ownership interest in the underlying infrastructure.

Credit Support Could Strengthen Project Financing

For lenders and infrastructure investors, the arrangement addresses an important question: what happens if the primary tenant cannot meet its long-term payment commitments? Anthropic’s obligations are central to the project’s projected economics, while Google’s involvement introduces an additional layer of contractual support.

However, the provision should not be interpreted as evidence that Anthropic is experiencing financial distress or is expected to default. It is a contractual contingency designed to establish what happens under specified circumstances. Similarly, Google’s potential ownership is conditional rather than an immediate equity investment in Raylan Data.

The distinction matters because the project’s financial profile depends on several factors, including construction costs, financing terms, delivery schedules, tenant performance and the eventual value of the completed facility.

What the Deal Signals for Crypto Infrastructure Companies

TeraWulf’s agreement reflects a broader strategic shift among publicly traded Bitcoin miners seeking to diversify their revenue sources. AI data centers require reliable electricity, substantial computing capacity and long-term infrastructure investment. These requirements create potential opportunities for mining companies that can repurpose or expand existing facilities.

Investors will need to monitor whether TeraWulf delivers the Kentucky capacity on schedule, how the project progresses toward its late-2027 target and whether its financing structure remains commercially viable. The Google provision adds an unusual layer of protection and potential ownership flexibility, but the ultimate value of the arrangement will depend on execution, contractual performance and sustained demand for AI computing infrastructure.
